Terms of Service
Effective Date: These Terms become effective when a user creates an account, purchases a subscription, or otherwise accepts these Terms through the Fasten Platform.
These Terms of Service (“Terms”) govern access to and use of the Fasten platform and related services (the “Platform”) operated by DEN Outdoors Inc. (“DEN Outdoors,” “Fasten,” “we,” “our,” or “us”).
The Platform includes Fasten web applications, embedded tools, APIs, design catalogs, project estimation tools, and related services.
By creating an account, purchasing a subscription, or otherwise clicking to accept these Terms, you agree to be bound by these Terms. If you do not agree, you may not access or use the Platform.
1. Platform Overview
Fasten is a software platform designed to help property owners, builders, contractors, and developers evaluate potential residential construction projects and connect with one another.
The Platform may allow users to:
• browse architectural design catalogs
• upload third-party plans
• generate preliminary construction cost estimates
• embed design catalogs on external websites through Fasten widgets
• schedule meetings between prospective clients and builders
• share project information between parties
• facilitate early-stage project discussions and evaluation
• transmit preconstruction agreements or service invoices between users.
Fasten provides software tools and workflow automation intended to support the early stages of construction project evaluation.
Fasten itself does not perform construction work.
2. Eligibility
You must be at least 18 years old to use the Platform.
If you use the Platform on behalf of a company or organization, you represent that you have authority to bind that organization to these Terms.
3. Accounts
Certain Platform features require a user account.
Users agree to:
• provide accurate account information
• maintain the security of login credentials
• notify Fasten promptly of unauthorized account use.
Users are responsible for all activity occurring under their accounts.
4. Authorized Users and Account Sharing
Access to the Platform is granted only to the subscribing customer and its authorized internal users.
Authorized users must be employees, contractors, or representatives working directly for the subscribing organization.
Accounts may not be shared with:
• unrelated third-party companies
• external builders or contractors not affiliated with the subscribing organization
• partner organizations
• consultants or resellers not authorized by Fasten.
Fasten may limit or suspend accounts that exceed permitted usage.
5. Subscription Term, Billing, and Cancellation
Fasten subscriptions are offered on a month-to-month basis unless otherwise agreed in writing.
A subscription becomes active once a user completes a Fasten subscription checkout or payment authorization.
Subscriptions automatically renew each month until cancelled.
Billing
Subscriptions are billed monthly in advance.
All fees are non-refundable except where required by law.
Cancellation
Users must provide at least thirty (30) days written notice to cancel.
Because Fasten requires 30 days notice, cancellation becomes effective at the end of the next billing cycle following the notice.
No Proration
Fasten does not prorate subscription fees.
Users cancelling mid-cycle remain responsible for the current billing period and the following billing period required by the notice period.
Non-Payment
Fasten may suspend or terminate accounts for unpaid fees.
6. Pricing and Payment Processing
Pricing for Fasten is determined by DEN Outdoors Inc. based on factors including:
• platform usage
• number of catalogs or plans
• number of authorized users
• feature access
• integrations.
Pricing is confirmed through a Stripe subscription link or checkout process.
Payments are processed through Stripe or another authorized payment processor.
Users authorize recurring billing when completing a subscription checkout.
Fasten does not store full payment card information.
7. Construction Estimate Disclaimer
The Platform may generate construction cost estimates based on user inputs, historical project data, regional cost models, builder inputs, and automated estimation systems.
All estimates are for informational and planning purposes only.
Estimates:
• are not binding prices
• are not contractor bids
• are not guaranteed project costs
• are not construction contracts.
Actual construction costs may vary due to site conditions, permitting requirements, engineering requirements, labor availability, materials pricing, design changes, and builder practices.
Users must obtain independent contractor quotes before undertaking construction projects.
Fasten is not responsible for cost discrepancies or project feasibility decisions made based on Platform estimates.
8. Platform Facilitation of Builder Engagements
Fasten provides tools intended to help builders and prospective customers connect and evaluate potential projects.
The Platform may facilitate:
• scheduling consultations or meetings between users
• sharing project information and plans between parties
• transmitting preliminary agreements between parties
• transmitting preconstruction service invoices.
These features are provided solely to facilitate communication and administrative coordination between users.
9. No Construction or Professional Services
Fasten and DEN Outdoors Inc. do not perform construction services, architectural services, engineering services, or project management services.
Fasten does not supervise construction projects, control builders’ work, or guarantee builder performance.
Any construction services or project agreements resulting from interactions on the Platform are solely between the relevant users.
Fasten is not a party to construction contracts between users.
10. Builder Representations and Marketplace Neutrality
Builders and contractors using the Platform are solely responsible for:
• pricing they provide
• professional credentials
• compliance with applicable laws
• project performance and timelines.
Fasten does not verify or guarantee builder representations.
11. Design Library and Intellectual Property
The Platform may include a Design Library containing architectural plans, renderings, and design materials.
These materials may be owned by:
• DEN Outdoors Inc.
• third-party architects
• design partners.
All intellectual property rights remain with their respective owners.
12. Downloading of Construction Plans
Certain plans may be downloaded.
Downloaded plans are digitally watermarked to the purchasing customer.
Users may store plans locally and share them with project participants involved in construction.
Users may not resell or redistribute plans commercially.
13. Renderings and Marketing Asset Restrictions
Renderings and marketing images may not be reused outside the Platform unless expressly authorized.
Users may not host renderings on external websites or distribute them outside Fasten widgets.
14. Anti-Scraping and Asset Protection
Users may not scrape Platform content, extract images, capture plan data, or harvest estimation outputs.
Fasten may suspend accounts engaging in such activity.
15. User Uploaded Content
Users are responsible for uploaded content.
Users must have legal rights to upload materials.
Fasten may remove infringing content and suspend repeat offenders.
16. Purchase of Design Plans
Certain designs may be available for purchase.
Purchasing a plan may grant access to construction documentation and design licenses.
Revenue may be shared between Fasten and design partners.
17. Protection of Estimation Models and Platform Systems
Fasten’s estimation algorithms, pricing methodologies, and datasets are proprietary.
Users may not reverse engineer estimation models or use outputs to build competing tools.
18. Platform Widgets and Embeddable Tools
Fasten widgets may only be used through official embed tools.
Users may not copy or replicate widget functionality.
19. Data Use and AI Model Improvement
Fasten may use Platform data to improve estimation models and platform functionality.
Fasten does not sell user data.
Users retain ownership of uploaded content.
20. Privacy and Data Protection
Fasten takes commercially reasonable steps to protect user data and comply with applicable privacy laws.
21. Service Availability
Fasten does not guarantee uninterrupted service.
The Platform may occasionally be unavailable due to maintenance or technical issues.
22. Service Termination and Data Retention
Upon cancellation, Platform access ends at the end of the billing period.
Fasten retains data for at least 30 days following termination.
23. Disclaimer of Warranties
THE PLATFORM IS PROVIDED AS IS WITHOUT WARRANTIES.
24. Limitation of Liability
Total liability is limited to the amount paid to Fasten during the 12 months preceding the claim.
25. Indemnification
Users agree to indemnify DEN Outdoors Inc. for claims arising from Platform use or uploaded content.
26. Arbitration
Disputes will be resolved through binding arbitration under American Arbitration Association rules.
27. Class Action Waiver
Users waive participation in class action lawsuits against Fasten.
28. Changes to Terms
Fasten may update these Terms from time to time.
29. Governing Law
These Terms are governed by the laws of the State of Delaware.
